2. COMMITTEES
A list of nominees from each region shall be presented by a Special committee. Additional nominatioins will be accepted from the floor. From the nominees, each region shall elect both a delegate and an alternate delegate from their respective region at the annual business meeting according to the following provision:

3. ELECTION OF OFFICERS
The election of officers of the Association whall be held at the Annual Meeting. A list of nomonees shall be presented by the Nominating Committee. Additional nominations shall be accepted from the floor.
Officers and committee members shall give their service gratis. Expenses, such as postage, stationary and others necessary for the discharge of their duties shall be paid out of the Association Treasury upon submittal of statement to the President of the Association who shall audit them before payment is made.
Upon a vacancy occurring in an office, at the first opportunith, the association members or the association executive committee, may elect or appoint to fill the vacancy until the next annual elections.

4. MEMBERSHIPS
Membership in the Association may include personnel actively connected with Human Services in the State of Minnesota. No annual payments are required. Membership entitles the person to hold office, attend meetings, serve on committees, make or second motions. Further, the County may vote inperson or by proxy on motions, if eligible under the one-county, one-vote article of the Constitution.

5. AMENDMENTS
a. CONSTITUTION
The Constitution of the Association may be amended either by the Executive Committee and a report of any amendment at the next Annual Meeting or at an Annual Meeting by a 2/3 vote of members present or represented by proxy, provided that the amendment has been submitted to the members in waiting, or at a previous Annual Meeting, together with notice that such action would be had at the time and place designated.
b. BY-LAWS
These By-Laws may be amended in the manner prescribed for amending the Constitution, provided however, that only a majority vote of embers present or represented by proxies shall be necessary.
